1. Purpose

This Sales Policy defines the terms and conditions governing the sale of services and/or products by One Global Connect (“OGC”, “we”, “us”, or “our”).

By placing an order, requesting a quotation, or entering into a contractual relationship with OGC, the client acknowledges having read, understood, and accepted this Sales Policy.


2. Scope of Sales

One Global Connect offers, depending on the nature of the assignment:

  • professional services (sourcing, consulting, business matchmaking, coordination),

  • sale or resale of products when acting as a reseller,

  • facilitation of transactions when acting as a commercial intermediary.

The exact nature of the sale (service, resale, or intermediary role) is clearly stated in the quotation, contract, or invoice.


3. Clients

OGC sells primarily to business clients (B2B) but may also sell to individual clients (B2C) where applicable.

Clients confirm that they have the legal capacity and authority to enter into a binding agreement.


4. Quotations and Orders

  • All quotations issued by OGC are valid for a limited period, as specified in the quotation.

  • An order is considered confirmed only after written acceptance of the quotation or contract and, where applicable, receipt of the required deposit.

  • OGC reserves the right to refuse any order in case of non-payment, lack of information, or incompatibility with its services.


5. Pricing

  • Prices are stated in the quotation or contract and are expressed exclusive of taxes, unless otherwise indicated.

  • Any applicable taxes, duties, or additional costs are borne by the client unless expressly stated otherwise.

  • Prices may vary depending on the scope of services, volumes, customization, logistics, or market conditions.


6. Payment Terms

  • Payment terms (deposit, milestones, balance) are specified in the quotation or contract.

  • Any service or order that has begun is deemed due and payable.

  • Late payments may result in suspension of services and may incur penalties in accordance with applicable law.


7. Delivery of Services and Products

  • Services are delivered according to the scope and timelines agreed upon contractually.

  • When OGC acts as a reseller, product delivery terms are governed by the Shipping Policy.

  • When OGC acts as an intermediary, product delivery is managed directly by the supplier, under the supplier’s own terms and conditions.


8. Returns, Cancellations, and Refunds

Returns, cancellations, and refunds are governed by the Return & Refund Policy of One Global Connect, which forms an integral part of this Sales Policy.


9. Transfer of Ownership and Risk

  • Ownership and risk transfer conditions are defined in the applicable contractual documents and, where relevant, by Incoterms.

  • OGC shall not be held liable for damage or loss occurring after the transfer of risk.


10. Limitation of Liability

OGC is bound by an obligation of means, not an obligation of result.

OGC shall not be held liable for:

  • decisions taken by the client,

  • acts or omissions of third-party suppliers or partners,

  • indirect or consequential damages,

  • delays or losses due to force majeure or events beyond its control.


11. Intellectual Property

All documents, methodologies, content, and materials provided by OGC remain the exclusive intellectual property of One Global Connect unless otherwise agreed in writing.


12. Governing Law

This Sales Policy is governed by French law.

In the event of a dispute, the parties shall seek an amicable solution prior to initiating legal proceedings. Failing this, the competent courts of France shall have jurisdiction.
